Conditions of Sales

These General Terms and Conditions of Sale (hereinafter the "T&Cs") govern all commercial relationships between the publisher of private-server.net (hereinafter the "Seller") and any user making a purchase on the Site (hereinafter the "Customer"). Any order placed on the Site implies full and unconditional acceptance of these T&Cs.

The First Place offer allows a server owner to reserve an advertising slot at the top of the ranking corresponding to their game, providing maximum visibility to visitors.

This offer works on the basis of a daily booking calendar: the Customer selects the desired days from the availability displayed for the relevant slot and ranking. Three slots are offered, from left to right:

• Left slot: the most visible slot, at the highest price.
• Center slot: intermediate visibility, intermediate price.
• Right slot: the most affordable price.

The price difference between each adjacent slot is 14%. The base price of each slot is determined dynamically according to the traffic generated by the ranking associated with the relevant game; it may increase or decrease at any time depending on observed audience levels.

A 15% surcharge is automatically applied to bookings made for a Saturday or Sunday, due to the additional traffic observed during weekends.

A booking is confirmed only upon receipt of payment. No provisional booking without payment is possible.

The Sponsored offer improves the visibility of a server across the Site ecosystem. It is not a recurring subscription (and should not be confused with the EasyVote+ offer): the Customer purchases a number of display days, from 1 to a maximum of 30 days per purchase.

The daily price of Sponsored is dynamic and specific to each server: it is recalculated every month based on the position held by the server in the ranking during the previous month. This mechanism aims to provide fair pricing, higher for the most popular and visible servers and more accessible for emerging servers.

The Sponsored offer includes the following benefits:

• Enhanced visibility in rankings: a distinctive yellow background that helps stand out from non-sponsored servers.
• Priority in search results: when a user types in the Site search bar, sponsored servers are suggested first.
• Suggestions on the vote page: sponsored servers are highlighted on the vote pages of other servers in the ranking.
• Advanced listing customization: animated GIF thumbnail, custom background image, unique dominant color for action buttons, and enriched Markdown description.

The EasyVote+ offer is a subscription intended for players who wish to support a specific server of their choice while benefiting from exclusive advantages on the Site. The subscription is taken out per server: the player chooses the server they wish to support when subscribing. It is renewable and is intended exclusively for natural person users.

The EasyVote+ offer provides the following benefits:

• Captcha-free voting: the EasyVote+ subscriber may vote for the servers of their choice without having to complete a captcha for each vote.
• Ad-free browsing: advertising spaces are disabled for the EasyVote+ subscriber throughout the Site.
• "Subscriber" badge: a distinctive yellow badge is displayed next to the EasyVote+ subscriber's username in comments and in the top voter ranking.

Revenue-sharing mechanism: for each EasyVote+ payment and renewal, fifty percent (50%) of the amount collected is automatically credited as balance to the Private Server account of the server to which the subscriber has subscribed. This balance may be used by the owner of the relevant server to fund advertising campaigns (First Place or Sponsored) on the Site.

EasyVote+ is renewable. It may be cancelled at any time and without conditions from the "Subscriptions" section of the customer area. Cancellation takes effect at the end of the current period and does not entitle the Customer to a prorated refund.

Paid services are available to any adult natural person (18 years of age or older) or legal entity with full legal capacity to enter into a contract. By placing an order, the Customer certifies that they are of legal age and have all necessary authorizations to use the chosen payment method. Access to paid services requires the prior creation of a valid account on the Site.

The order is deemed firm and final once the Customer has validated the order form and the payment has been effectively collected. An order summary is sent to the Customer electronically at the email address associated with their account.

The Seller reserves the right to refuse or cancel any order in the following cases:

• Ongoing payment dispute or previous unpaid amount.
• Suspected fraud or unauthorized use of a payment method.
• Failure to comply with the General Terms of Use or the Site rules.
• Unavailability of the slot or service at the time of validation.

Prices displayed on the Site are indicated in euros (EUR) or US dollars (USD), depending on the currency selected by the Customer in their customer area. The total amount of the order, including all taxes, is shown before final validation.

The Seller is established in Bulgaria and subject to Bulgarian VAT at the applicable rate (20%). For business Customers established in another Member State of the European Union and holding a valid intra-Community VAT number, the reverse charge mechanism applies in accordance with Directive 2006/112/EC: VAT is not charged by the Seller and the Customer is liable for VAT in their own country. For Customers established outside the EU, no VAT is applied.

The Seller reserves the right to change its prices at any time. The applicable prices are those displayed at the time the order is validated. Full payment is required when placing the order.

The account currency can be configured in the customer area, under the "Invoices" section. Once a first payment has been made in a given currency, it can no longer be changed.

To issue an invoice, the Customer must enter their billing information (company name, address, intra-Community VAT number where applicable) in their customer area, under the "Invoices" section, "Company" subsection, before any payment. No invoice may be generated for an order placed without this information having been provided beforehand.

Payment is made online by credit or debit card through Stripe, a secure payment provider (Stripe, Inc. / Stripe Payments Europe, Ltd.). The Seller does not store any banking data: transactions are fully processed and secured by Stripe in accordance with PCI-DSS standards. Payment by bank transfer is possible upon request to the team via the contact page. Payment via PayPal is not accepted.

The information transmitted during payment constitutes proof of consent to the sale and commitment to pay the amounts due. In the event of a dispute or fraudulent use of a bank card without physical presentation of the card, a claim may be sent by email to the Seller within thirty (30) days following the transaction date.

The Seller reserves the right to refuse an order in the event of overdue payment or unresolved dispute.

Services are activated upon receipt of payment. For the First Place offer, the slot is reserved for the selected days as soon as payment is confirmed. For the Sponsored offer, display begins on the date chosen by the Customer. For EasyVote+, the benefits are activated immediately.

The Seller reserves the right to modify the presentation and format of advertising spaces at any time without this giving rise to any right to a refund. No specific result in terms of visits, votes, clicks, or any other performance metric is guaranteed.

In accordance with European Directive 2011/83/EU on consumer rights, as transposed into Bulgarian law, the right of withdrawal does not apply to contracts for the supply of digital content or digital services whose performance has begun with the consumer's prior express consent and express waiver of the right of withdrawal.

By validating the order, the Customer expressly acknowledges that the ordered services (First Place, Sponsored, EasyVote+) are digital services with immediate performance and an entirely digital nature. The Customer expressly consents to their performance beginning without delay from payment and expressly waives any right of withdrawal.

Due to the digital and intangible nature of the services offered, no refund will be granted once the service has been activated or the display period has begun, regardless of the remaining duration. This policy applies to all offers (First Place, Sponsored, EasyVote+), except in cases of force majeure as defined in Article 9 or a technical failure exclusively attributable to the Seller that makes the service totally inaccessible.

Cancellation of EasyVote+ takes effect at the end of the current period and does not entitle the Customer to a prorated refund for remaining days.

In the event of a technical failure attributable to the Seller, a credit note or postponement of the service may be offered to the Customer as a commercial gesture, without constituting a contractual obligation.

The Seller undertakes to provide the described services with appropriate care and diligence. The Seller shall not be liable for indirect or intangible damages (loss of revenue, data, or customers) resulting from the use of, or inability to use, the services. The Seller does not guarantee uninterrupted continuity of the services and cannot be held liable for interruptions related to maintenance operations, technical failures, or events beyond its control.

The parties are released from their contractual obligations in the event of force majeure: any circumstance beyond their control, unforeseeable, irresistible, and external, making normal performance of the obligations impossible. Force majeure events include, in particular, natural disasters, shutdown of telecommunications networks, large-scale cyberattacks, and governmental or regulatory decisions affecting the activity.

In the event of force majeure, the affected party shall inform the other party as soon as possible. Obligations are suspended for the duration of the event. If the event continues for more than three (3) months, either party may terminate the contract by written notice, without compensation.

Personal data collected in connection with an order (identity, email address, billing information) is processed in accordance with the GDPR and the Site privacy policy. It is used exclusively for order processing, invoice issuance, and management of the commercial relationship.

In the event of a dispute relating to the interpretation or performance of these T&Cs, the Customer is invited to contact the Seller first in order to seek an amicable solution.

For consumer Customers residing in the European Union, the European Commission provides an online dispute resolution (ODR) platform available at: https://ec.europa.eu/consumers/odr. The Seller undertakes to participate in good faith in any mediation procedure initiated through this platform.

Failing amicable resolution within thirty (30) days, any dispute relating to the formation, interpretation, or performance of these T&Cs shall be submitted to the exclusive jurisdiction of the courts of Sofia (Bulgaria). These T&Cs are governed by Bulgarian law, without prejudice to the mandatory protective provisions enjoyed by consumers in their country of residence within the European Union.

For business Customers, any dispute shall be submitted to the exclusive jurisdiction of the courts of Sofia (Bulgaria), Bulgarian law being solely applicable.

The Seller reserves the right to modify these T&Cs at any time. The T&Cs applicable to an order are those in force at the time of its validation. Modifications are published on the Site and take effect immediately for new orders.
